Corporate Governance

Central European Media Enterprises Ltd. is committed to the highest standards of ethics and integrity and has adopted a set of strong corporate governance practices. The policies and procedures we have developed are designed to provide for the effective oversight and management of the Company and its subsidiaries and promote transparency and accountability to shareholders.

Board of Directors

The Board of Directors has 14 members, drawn from careers in the media and communications industries, finance, and public service. Eight members of the Board are independent directors.

Board Leadership and Committee Structure

The Board of Directors has five committees: the Audit Committee, the Treasury/Finance Committee, the Corporate Governance/Nominating Committee, the Compensation Committee and the Related Party Transactions Committee. The Audit Committee, the Corporate Governance/Nominating Committee, the Compensation Committee and the Related Party Transactions committee are each composed entirely of independent Directors.

Committee Charters

The Board of Directors has adopted charters for four of its committees, which describe the committee's composition, scope of powers and functions and administrative requirements. The Related Party Transactions Committee operates pursuant to a written procedure.

Codes of Conduct

The Board of Directors considers the Company's reputation to be one of its most important assets and has placed great importance on maintaining a reputation for integrity and fairness. The Company's Standards of Business Conduct applies to all employees of the Company and its subsidiaries, and the Company has adopted a Code of Conduct for Non-Employee Directors with respect to its Board. These policies require employees and directors to conduct the Company's business affairs consistent with the highest values and in accordance with applicable laws of the countries in which the Company operates, and to exercise the highest degree of honesty and integrity.

Disclosure policy

The Disclosure Policy reflects the Company's commitment to the fair disclosure of information with respect to its business. It is CME's belief that its investors are best served when its performance, strengths, strategies and risks are publicized properly. Accordingly, it is CME's policy to maintain an active and transparent dialogue with investors, analysts and the public through the fair, accurate, clear and timely disclosure of information consistent with its regulatory obligations.
